PARIS, FRANCE: ORANGE and MASMOVIL (LORCA JVCO) have entered into unique discussions to mix their companies in Spain.

The mixture would take the type of a 50-50 Joint Venture, co-controlled by ORANGE and MASMOVIL (LORCA JVCO) with a mixed enterprise valuation of €19.6Bn.

ORANGE and LORCA JVCO would profit from equal governance rights within the mixed entity. Accordingly, neither ORANGE nor LORCA JVCO will consolidate the mixed operations.

The settlement between the events includes (i) a proper to set off an IPO under sure conditions for each events and (ii) a path-to-control proper for ORANGE to consolidate the mixed entity within the case of an IPO. ORANGE would neither be forced to exit nor to train these options.
