ActivePort Group acquires Future Broadband in a share-exchange deal

SYDNEY, AUSTRALIA: ActivePort Group Ltd (ASX:ATV) has acquired Future Broadband in a 100% scrip based acquisition priced at 20 cents per ATV share, creating Australia’s first fully orchestrated, end-to-end, self-service SD-WAN solution.

ActivePort will purchase 100% of the shares of Digital Immortality Pty Ltd (trading as Future Broadband). Consideration for the acquisition would be the issue of 2,175,000 Ordinary shares in ActivePort and 2,000,000 Class G Performance Rights.

On vesting, every Class G Performance Right converts to one ordinary share in ActivePort. The efficiency Rights fully vest if the total consolidated income goal (AUD$3.2 million) for Digital Immortality Pty Ltd for the monetary year ending on 30 June 2023 (FY23 Revenue) is achieved.

If FY23 Revenue is decrease than $1 million then no Performance Rights will vest.
